Which OS?

I recommend installing Mike Lin's Startup Control Panel (http://www.mlin.net/) and using that to check for startup problems.

What OS are you running? Does it pop up all the time or just at boot?

Are you sure it's cmd.exe, and not cmd32.exe? Do a search from the start menu for cmd.exe. It should only be in the windows/ system32 folder and C:\ docs and settings\ your user name\ start menu\ programs\ accessories. Make sure it didn't get stuck into the start up folder or somewhere it doesn't belong. Run the system file checker. Start/ Run/ type in sfc /scannow exactly like that, then hit Ok

Had a box keep popping up on me at start up it turned out to be a nasty piece of spanish spyware.
Download a free progam called bazooka it spots spyware and spyware remnants on your hdd and in your registry if you run the program and save a log it will tell you the path of the spyware so you can find it easily and manually remove it.
hope this helps
