So ... all the specs are in my signature and profile page, here's the problem:

I had my CPU stable at 2.8GHz when I had 2GB of memory, no problems. Since installing 4GB of memory, the overclock has been stable in Orthos (12 hours+) and Memtest86 (12 hours+). The problem is that ol' compy will freeze just before the Windows loading slider appears. It gets to the TrueCrypt bootloader, password is entered ... and ... nothing. This only happens on cold boots, _normally_ only once, so I was living with it. After rebooting, Windows would load fine.

Today, it went through 8 times before I said fux it and downclocked to 2.6GHz, at which point Windows fires up right away.

Now, I'm much happier with 4GB+2.6GHz than I was with 2GB+2.8GHz, but I'd be even happier with 4GB+2.8GHz+booting on the first time.

Any idears? Or is this just the price I must pay for filling all 4 memory banks?

I had the same issues on my rig when I populated all 4 banks.
The system would seem stable, but oddly the boot times would go through the roof, or periodically I'd get a system unresponsive like you've experienced.
I tried just about every permutation of timings, FSB, multipliers etc that I could think of, and the only thing that seemed to help is to take the DDR 400 DRAM down to DDR 333 settings.
This had the impact of actually slowing the system at a higher OC level, so I backed off until I could run stable at DDR400.

AMD engineers apparently didn't think 4 DIMMs was going to be common place. Pentium 4 era processors have a similar problem but it completely vanishes with newer LGA775 chipsets. Unfortunately, that IMC is a mixed blessing.

I've been using dividers to keep the memory as close to DDR400 (or slightly under) as I can. I had it at DDR333 (with 2.8GHz) for a while, same problem.

I have the latest BIOS available from DFI (I tried a few modded BIOS' as well). And I am running 2T. I knew that would be a problem from the start with 4 DIMMs, so I went ahead and changed that as soon as the memory went in.

:~ The annoying part is that once I get through the gauntlet of frozen startups/reboots (eg. once the Windows slider appears), compy will run just fine for as long as I need it to (was up for about 5 days this last weekend before I shut it down), even under load from gaming, VMware, or music/video encoding.

See if you can get your ram switched to 2x2 instead, so computer shops will trade in ram like that.

Do they even make 2GB DDR1 modules?

My memory is stock 2.6V. Even at stock memory speed/timings at 3.0V it has the problem, so I don't think that's it. :(
